(the “Corporation”) in connection with the Registration Statement on Form S-8 dated as of December 22, 2005 (the “Registration Statement”), filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Securities Act”), relating to 31,000 shares of the common stock, $1.00 par value per share, of the Corporation (the “Shares”), to be issued in accordance with the terms of the Corporation’s 2005 Directors’ Stock Compensation Plan (the “Directors’ Compensation Plan”).
